Novell Files Resale Shelf Registration Statement Registering Securities Sold on July 2, 2004, in Private Placement Transaction

Novell, Inc. (NASDAQ: NOVL) announced today that it has filed a registration statement with the Securities and Exchange Commission to register its 0.50 percent Convertible Senior Debentures due 2024 and the underlying shares of common stock for resale by the debenture holders.

As previously announced, Novell issued $600 million aggregate principal amount of the debentures in a private placement on July 2, 2004. At that time, Novell had agreed to register the debentures and underlying shares of common stock for resale. Novell will not receive any of the proceeds from any resale of the debentures or underlying shares of common stock that may be made pursuant to the registration statement.

A registration statement relating to these securities has been filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
